Position Overview
Position: Company Secretary
Location: SSGC Head Office, Karachi
As a member of the senior management team, the Company Secretary will be responsible for providing governance leadership, ensuring compliance with corporate laws, supporting the Board of Directors, and managing other corporate affairs.
Qualification & Experience
- Educational Requirement:
A Masterâs degree in Business Administration, Commerce, or Law from a university recognized by the Higher Education Commission (HEC) of Pakistan. - Experience:
A minimum of 16 years of relevant post-qualification work experience, with at least 5 years in a leadership position. The candidate must demonstrate in-depth knowledge of governance, corporate laws, and statutory requirements. Previous experience in a similar role within a public or private organization is highly preferred.
Job Summary
The Company Secretary will be responsible for the effective governance of the organization, ensuring compliance with legal and regulatory requirements, and assisting the Board of Directors and its committees in making well-informed decisions. Key duties include:
- Supporting the Board of Directors and Board Committees in implementing decisions and ensuring proper governance practices.
- Managing the circulation of agendas, working papers, and action points for board meetings and ensuring timely distribution.
- Coordinating communication with stakeholders and monitoring the implementation of board decisions.
- Ensuring compliance with corporate laws and statutory requirements, maintaining up-to-date knowledge of regulatory changes.
- Managing quarterly and annual reports for shareholders and handling other corporate matters.
- Overseeing the preparation of governance reports and ensuring that the company’s actions comply with relevant regulations.
